cyan AG: Capital increase has been resolved

Munich, July 09, 2019 – Today, the Executive Board of cyan AG (“cyan” or the “company”) with the approval of the Supervisory Board has resolved on the partial use of the existing authorized capital and to increase the share capital of the company from EUR 8,885,944.00 by up to EUR 888,594.00 to up to EUR 9,774,538.00 by issuing up to 888,594 new bearer shares against cash contributions, excluding the subscription rights of shareholders. The new shares are entitled to dividends as of January 1, 2019. In addition, up to 550,000 shares from the holdings of the shareholders Mr. Alexander Schütz, Apeiron Investment Group Ltd. and Tansanit foundation can be placed (“upsize option”) in the event of strong demand.

With the funds from the capital increase cyan AG wants to further professionalize the organizational structure of cyan group. Additionally further investments in research & development are planned as well as stronger market penetration.

The new shares are to be offered exclusively in a private placement to institutional investors by way of an accelerated bookbuilding process, which will be initiated immediately after this announcement. The final number of shares to be issued as well as the placement price will be determined by the Management Board after completion of the accelerated bookbuilding process. It is intended to include the new shares in the existing listing of the company’s shares on July 11, 2019. Delivery of the new shares is envisaged for July 12, 2019. The decision on the exercise and size of the upsize option will be taken no later than tomorrow morning, July 10, 2019, prior to start of trading.

cyan AG and the three major shareholders of the company, Mr. Alexander Schütz, Apeiron Investment Group Ltd. and Tansanit foundation agreed to a six-month lock-up period for their shareholdings remaining after the potential exercise of the upsize option (subject to customary exceptions).
